LEBANON COMMUNITY CONCERT BAND
1. NAME OF ORGANIZATION:
The Organization shall be known as the Lebanon Community Concert Band (LCCB). 2. PURPOSE OF ORGANIZATION:
The general purpose of the organization is to provide an opportunity for musicians of the
Lebanon area to develop and perform concert band music for their own enjoyment, and to
promote and increase the musical knowledge of the general public. The LCCB is incorporated under the non-profit corporation law of the Commonwealth of
Pennsylvania, exclusively for educational and cultural purposes within the meaning of
Section 501 (c) (3) of the Internal Revenue code of 1986. 3. MEMBERS:
The organization is open to all qualified musicians, by auditions, who desire to practice and
perform with the band. The discretion of membership will be decided by the Musical Band
Director of the LCCB. 4. BOARD OF DIRECTORS:
The Board of Directors shall hereinafter be known as the Directors, and shall consist of the
Musical Band Director and all elected Officers.
A. Term:
The initial Board shall consist of four elected members. One elected member shall be
appointed for a one-year term, one for a two-year term, one for a three-year term, and
one for a four-year term. After the initial terms, all Directors shall be voted into a
four year term of office by a majority vote of the members of the LCCB. B. Quorum:
A quorum of any meeting of the Board of Directors shall be a majority of the
members then sitting. All actions of the Board of Directors shall be a majority vote
of the Directors present and voting at any meeting.
C. Operations:
All operations conducted in a meeting and voting shall be in accordance with
Robert’s Rules of Order. D. Compensation:
No Directors shall be compensated directly or indirectly for his or her service, and
may be reimbursed only for out-of-pocket expenses incurred by him or her. E. Directors’ Powers:
The Directors shall have the power to control the disbursement of funds of and
throughout the organization and select the Musical Band Director of the LCCB. F. Regular Meetings:
Regular meetings of the LCCB shall be held at least quarterly. G. Vacancies:
In the event that a vacancy occurs during the term of an elected member, the Board
will appoint a member of the LCCB to complete the term of the vacancy. 5. OFFICERS:
The officers of the Board (President, Vice-President, Secretary and Treasurer) shall be
elected by the Board of Directors and may be members of the LCCB or recommended
members of the community. The officers of the Board of Directors of the LCCB shall be a
President, Vice-President, Secretary and Treasurer. Members of the Board of Directors
shall have general charge and supervision of the LCCB. A. President:
The President shall preside at all meetings, be responsible for the agenda of all Board
meetings. B. Vice-President:
At the request of the President or in the event of his absence or disability, the Vice-
President shall perform the duties and possess the powers of the President. C. Secretary:
The Secretary shall have charge of the books, documents and papers of the Board of
Directors, and shall at all times keep in his or her custody those documents. D. Treasurer:
The Treasurer shall have custody of all the funds of the LCCB. All funds disbursed
by the LCCB shall be managed by the Treasurer and approved by the Board of
Directors. All accounts of the LCCB shall be deposited in such banks as may be
designated. 6. MUSICAL BAND DIRECTOR:
The Musical Band Director shall be approved by the Officers of the LCCB and shall serve
for a period of time that is mutually agreeable to both the LCCB Board and the Musical
Band Director. The Musical Band Director shall have final approval over all musical
selections performed by the LCCB. The Musical Band Director shall have final approval
over all musical performers in the LCCB. 7. FINANCE:
The fiscal year shall be from July 1 through June 30. The accounts shall be audited by the
Board and the results submitted to all LCCB members on a quarterly basis. 8. COMMITTEES AND ADVISORS:
The Board of Directors may appoint such committees and advisors, as they deem necessary
in order to carry out of the functions of the LCCB. The Board of Directors shall, at all
times, retain supervisory control over the final action of the committee. 9. AMENDMENT OF BY-LAWS:
The By-Laws may be amended or repealed and new By-Laws adopted by a majority vote
of the Board of Directors of the LCCB. 10. DISSOLUTION:
Upon the dissolution of the organization, assets shall be distributed for one or more exempt
purposes within the meaning of section 501 (c) 3 of the Internal Revenue Code, or
corresponding section of any future federal tax code, or shall be distributed to the federal
government, or to a state or local government, for a public purpose. Any such assets not
disposed of shall be disposed of by the Court of Common Pleas of the county in which the
principal office of the organization is then located, exclusively for such purposes or to such
organization or organizations, as said Court shall determine, which are organized and
operated exclusively for such purposes.
